MicrolandOne Terms and Conditions

MicrolandOne is an App (also referred to as Application) developed for use by Microland employees only. These terms and conditions apply to and govern your access to and use of the Microland App ("MicrolandOne"). It is important that you read and understand the terms and conditions, as by downloading the App you indicate that you accept these terms and conditions. Microland may in its absolute discretion at any time amend the Terms and Conditions.

If you continue using the App, you will be bound by these terms including any or all modifications made to it. If you do not agree with these terms, you should stop using the App immediately.

Use of the App
The App is made available for your own, personal and exclusive use during your employment with Microland only. The App must not be used for any commercial purpose whatsoever or for any illegal or unauthorized purpose.
Conditions of Use
1. You agree that when using the App you will not:
  1. Use the App in any unlawful manner or in a manner which infringes any copyright, trademark or any other intellectual property right;
  2. Display any conduct or material which is unlawful, offensive, obscene, indecent, defamatory, seditious, abusive or hateful, false, racist and/or which may harass, distress or cause inconvenience to any person or invade another's privacy;
  3. Act in a manner that constitutes an illegal threat, encourages conduct that would constitute a criminal offence, give rise to civil liability or otherwise violate any local, state, national or international law or regulation;
  4. Use or attach any viruses, Trojan horses, worms, cancel bots or other means which could damage, interfere, intercept or expropriate any system; or interfere with the service of any user;
  5. Publish falsehoods or misrepresentations that could damage Microland, other users or any third party;
  6. Publish any private information of someone, like their address, phone number, email address, financial information or similar information without their written permission;

2. You will not, nor allow third parties on your behalf to, (i) make and distribute copies of the App and/or its contents (ii) attempt to copy, reproduce, alter, modify, reverse engineer, disassemble, decompile, transfer, exchange or translate the App and/or its contents; (iii) create derivative works of the App of any kind whatsoever (iv) attempt to copy, download, forward or share the contents of the App.
3. The App is currently made available to you free of charge for your personal, non-commercial use during your employment with Microland only. Microland reserves the right to amend or withdraw the App, or charge for the application or service provided to you in accordance with these terms, at any time and for any reason.
Content
You are responsible for the Content ('Any information, text, graphics, photos or other materials uploaded') downloaded whether publicly posted or privately transmitted, that you post, including its legality, reliability, and appropriateness. You will at all times ensure confidentiality of the Content. We monitor all Content posted and allow you and other users to flag inappropriate Content. We will remove any inappropriate content, regardless of how it is discovered and in addition will delete accounts of those users that continue to post inappropriate Content. However, despite the aforementioned efforts, you understand that by using the App you may be exposed to Content that might be offensive, harmful, inaccurate, deceptive or inappropriate. Under no circumstances will Microland be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, transmitted or otherwise made available. You acknowledge sole responsibility for and assume all risk arising from your use or reliance of any Content.
Proprietary Rights
Microland and/or its Licensors owns the App and its contents and is/are protected by copyright, trademark and other forms of proprietary rights. No license or right is granted to you and your access to this App and its contents and/or use of the online services should not be construed as granting, by implication, estoppel or otherwise, any license or right to use any of the Content.
Trademarks
All trademarks, service marks, and logos displayed are the property of Microland and/or their respective third party proprietors as identified in this App. No license or right is granted to any party accessing this App to use, download, reproduce copy or modify such trademarks, service marks, or logos.
Privacy and Confidential Information
By assessing the App, you acknowledge and consent that Microland may collect, retain or disclose any information provided by you for the effectiveness of the services and such Information collected, retained or disclosed shall comply with Microland's Privacy Policy and any legislations, laws or regulations that shall come into place from time to time.

You shall be responsible for the confidentiality and use of your Application password and at no time and under no circumstances intentionally or unintentionally reveal your password to anyone.
Warranty
Microland expressly disclaims any liability, loss or damage incurred to you due to usage of the App including preventing you from usage of your mobile device, App and other third party application/s. You expressly acknowledge and agree that use of the App is at your sole risk. To the maximum extent permitted by applicable law, the App is provided "as is" and “as available,“ with all faults and without warranty of any kind, and Microland hereby disclaims all warranties and conditions with respect to the App, either express, implied, or statutory, including, but not limited to, the implied warranties and/or conditions of merchantability, of satisfactory quality, of fitness for a particular purpose, of accuracy, of quiet enjoyment, and of non-infringement of third-party rights.
Liability
Microland and/or its agents herein shall in no event be liable for any loss or damage howsoever arising whether in contract, tort, negligence, strict liability or any other basis, including without limitation, direct, indirect or any damages, or loss profits or savings arising in connection with your access or use or the inability to access or use the App or otherwise.
Indemnity
You shall indemnify and keep Microland indemnified against any loss or damage, cost, claims, fees (including solicitors fee on a solicitors and clients basis) and all expenses incurred arising from any breach of any terms and condition of this App caused by your non-compliance, non-conformity, refusal to follow or exclusion of the steps and procedures in the App, negligence in the execution of your obligation and infringement of any intellectual property rights in any part of the App and services and any liability that arises from your gross negligence or willful misconduct or from the non-compliance.
Termination
Microland reserves the right to terminate and/or suspend your access to this App and/or Â your use of this App and the services at any time, in whole or in part, without prior notice if you do not comply with the Conditions of Use and/or breach of any of these Terms and Conditions or violate Microland rights/other users or any third party or you have committed any unlawful acts. We may revise these Terms from time to time. By continuing to access or use the App after those revisions become effective, you agree to be bound by the revised terms.
Law and Jurisdiction
These Terms and Conditions shall for all intents and purposes be subject to and construed in accordance with the laws of India. By accessing this App and/or using the services provided herein, you hereby consent to the exclusive jurisdiction of the Indian courts.
